By accessing or using GPT Realtime 2 ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. We may update these Terms from time to time, and continued use after an update means you accept the revised Terms.

GPT Realtime 2 is an independent workspace for realtime voice-agent planning and implementation. The Service may include:

• Session configuration, prompt, and tool-calling templates
• Streaming transcription and live translation planning resources
• Usage, pricing, and operational planning tools
• Access to web-based account, billing, and API-related features where available

To use certain features, you may need an account. You agree to provide accurate registration information, keep your credentials secure, notify us of unauthorized access, remain responsible for activity under your account, and avoid sharing your account in ways that bypass plan limits.

You agree not to use the Service to:

• Break applicable laws or platform policies
• Create deceptive impersonation, fraud, harassment, or harmful automation
• Record, process, or share voice data without required consent
• Violate intellectual property, privacy, publicity, or data protection rights
• Upload malicious code or attempt unauthorized access
• Circumvent usage limits, payment controls, or technical restrictions
• Use outputs or guidance in high-risk settings without appropriate human review

Violations may result in suspension, termination, content removal, or legal action where appropriate.

Your Content: You retain ownership of prompts, configurations, transcripts, uploaded materials, and other content you are legally entitled to use. You grant us a limited license to process that content solely to provide, secure, and improve the Service.

Generated or Exported Materials: Subject to these Terms and applicable law, you may use materials you generate or export from the Service. You are responsible for reviewing outputs before using them in production.

Our Platform: The Service, including software, interface design, documentation, workflow templates, and brand assets, is owned by us or our licensors. You may not copy, resell, reverse engineer, or misuse the platform.

Billing: Paid plans may be billed in advance on a recurring basis. You authorize charges to your selected payment method.

Refunds: Payments are generally non-refundable except as required by law or at our discretion.

Cancellation: You may cancel a subscription according to the checkout or account settings flow. Cancellation usually takes effect at the end of the current billing period.

Usage Limits: Plans may include limits for credits, sessions, minutes, API-related features, or other usage units.

We may review content, session metadata, account activity, or uploaded materials when needed to operate the Service, enforce these Terms, investigate abuse, comply with law, or protect users and the platform. We may remove content or restrict access when we reasonably believe a violation has occurred.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. Realtime AI guidance, prompts, generated text, transcripts, tool plans, and architecture references may contain errors, omissions, latency assumptions, or unexpected results. You are responsible for validating any workflow before relying on it in production.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES; DAMAGES FROM USE OR INABILITY TO USE THE SERVICE; OR THIRD-PARTY SERVICES AND ACTIONS. Our total liability shall not exceed the amount you paid us in the 12 months before the claim.

You agree to indemnify and hold us harmless from claims, damages, losses, liabilities, and expenses arising from your use of the Service, your violation of these Terms, your violation of third-party rights, or content and configurations you upload, process, or deploy.

We may suspend or terminate access for violations of these Terms, fraudulent or illegal activity, non-payment, security risk, or other reasons permitted by law. After termination, your right to use the Service ends immediately, though we may retain certain records as required by law or legitimate business needs.

These Terms are governed by the laws applicable to the service provider, without regard to conflict-of-law rules. Disputes should first be addressed through good-faith negotiation. If unresolved, they may be handled through arbitration or a court with proper jurisdiction where permitted by applicable law.

Severability: If any provision is invalid, the remaining provisions remain effective.

No Waiver: Failure to enforce a right does not waive that right.

Assignment: You may not assign these Terms without consent. We may assign them as part of business operations.

Entire Agreement: These Terms and the Privacy Policy form the agreement between you and us.
